The Operating Agreement provided in this package suggests common provisions, but you are free to revise as necessary to suit your business needs.
Medical Director Agreement
To be used when engaging a Medical Director (“MD”) for your med spa. Unless the MD is a part owner, the relationship will likely be contractual in nature, and thus, you will choose language that is for independent contractors. However, we wanted to include language for actual employees in the event it was applicable (of course you will choose what to include or delete in the document). As with anything else in the med spa industry, a lot of the options (initial consult, physical versus remote accessibility, etc) will be state-dependent.
Delegation Agreement
To be used when delegating duties to PAs, NPs, or other licensed professionals in your med spa. This agreement can be used in conjunction with the Independent Contractor Agreement or Employment Agreement if they are applicable. As with anything else in the med spa industry, a lot of the options (initial consult, scope of practice, etc) will be state-dependent.
Employment Agreement
To be used any time you hire an employee. The Employment Agreement is designed to outline the scope of work, salary, fringe benefits and more, while also providing protection for both parties. This may be used for stylists, assistants, managers, and any other support staff.
Independent Contractor Agreement (or 1099 Agreement)
To be used any time your med spa enters into an agreement with an independent contractor to perform services The Independent Contractor Agreement is designed to outline the scope of work, compensation, deadlines, worker classification and more, while also providing protection for both parties.
Massage and Aesthetics Room Rental Agreement
To be used any time your med spa rents a room to a third-party injector, esthetician, or massage therapist. The Massage and Aesthetics Room Rental Agreement is designed to outline the rental rate, obligations of both parties, rights of access and more, while also providing protection for both parties.
